Carlsquare advised DryvIQ on its sale to Nasuni

Carlsquare advised DryvIQ, a leader in intelligent unstructured data management, on its sale to Nasuni, the unstructured data platform for enterprise teams and AI, backed by Vista Equity Partners, KKR, TCV and Sixth Street. The acquisition adds AI-powered content intelligence and governance capabilities to the Nasuni File Data Platform, enabling organizations to classify, secure and activate unstructured data across more than 40 cloud and on-premises repositories.

Nasuni powers the operational file layer where work happens, fusing cloud object storage with enterprise file services on a patented architecture to deliver high-performance file access, global data availability and a governed, AI-ready single source of truth across every major cloud. The platform is trusted by more than 1,300 enterprises globally.

DryvIQ, headquartered in Ann Arbor, Michigan, enables organizations to manage the full content lifecycle with intelligence, speed and scale. Its AI-powered models scan file content across more than 550 file formats, over 100 entities and over 1,000 business document types, detecting PII, PHI and PCI data across more than 175 languages, with configurable policy rules that map enforcement to GDPR, HIPAA, PCI-DSS and other regulatory frameworks. The company is trusted by more than 1,100 global organizations, including leading Fortune 1000 enterprises.

Unstructured content remains the largest and least-governed asset in most enterprises, and it must be discovered, classified and governed before it can be exposed to AI safely. The combination gives customers a single, governed foundation to classify, protect and activate data wherever it lives, replacing the multi-vendor approach organizations have stitched together for years.

“Joining Nasuni puts DryvIQ’s AI-powered content intelligence and governance inside the platform where enterprise data already lives, giving customers a single governed foundation to classify, manage, protect, and activate that data. Susan Blanco and her team at Carlsquare have extensive knowledge of the relevant data software landscape, and that made a real difference in the outcome for our shareholders.” – Matt Doyle, President, DryvIQ

“Carlsquare set a high standard and held it from first meeting to close. The senior team was deeply involved throughout, brought a genuine understanding of our strategic landscape, prepared us properly, and advocated hard for our shareholders at every stage of the negotiation. Rather than running a broad process, they used their relationships and positioning to take us to a targeted group of the right buyers, and that got us to a standout outcome on a streamlined timeline.” – Kevin Terasi, Investor, Straylight Capital

Carlsquare acted as the exclusive financial advisor to the shareholders of DryvIQ.
