Carlsquare advised the shareholders of MTB Marienthaler Baustoffhandels GmbH on the sale to Raiffeisen Waren GmbH

Kassel-based Raiffeisen Waren GmbH (“Raiffeisen Waren”) has acquired MTB Marienthaler Baustoffhandels GmbH (“MTB”) in a share deal.

MTB was founded in 1990 in Zwickau, Germany, and consists of a building materials trade, which is primarily aimed at specialist customers, and a Hagebaumarkt with a focus on the end customer business. In addition to roofing, building construction, interior finishing and tiling, the building materials trade also operates a professional shop for tools and work wear. In the Hagebaumarkt, the classic DIY range under the Hagebau flag is supplemented by a garden centre. The management of MTB remains in the hands of Peter Rogsch. In addition, Andreas Helmrich from Raiffeisen Waren Baustoffe will strengthen the function.

Raiffeisen Waren GmbH is a group of companies that draw on more than 125 years of experience in trading products and services. This includes products, offers and services from the agricultural and agricultural machinery trade. In addition, the company’s established non-agricultural business areas, such as building materials trading, as well as energy trading and the operation of its own petrol stations, guarantee turnover and earnings. The Raiffeisen Waren Group (RW Group) has its headquarters in Kassel and is represented at over 220 locations in Germany and Denmark. The group of companies employs around 2,800 employees and achieved a turnover of 2.02 billion euros in 2021.

“Our strategic focus is to continue to grow sustainably in the areas in which we are well versed,” explains Andreas Helmrich, Head of the Building Materials Division at Raiffeisen Waren. “Therefore, it was fortunate that MTB was looking for a new owner, because from our point of view, many things fit together very well here,” says Andreas Helmrich.

Carlsquare acted as exclusive financial advisor for MTB and supported the shareholders in a structured process to identify the ideal partner and in the transaction negotiations.
