Carlsquare advises Mahler on the sale to Bauking (BME)

Mahler Holding has reached an agreement with Bauking (BME Group) on the sale of a large part of its operating companies. Specifically, these are Mahler Bauwaren, Mahler Bayerische Bauwaren, Mahler Fliesen & Glasbau and Hillari Fliesen-Center. The sale of shares is still subject to approval by the relevant antitrust authorities and is expected to be completed in the course of 2021.

As one of the leading building materials and tile dealers in Bavaria, Mahler has an attractive market position with five branches in Augsburg, Unterdießen near Landsberg, Feldkirchen near Munich and Burgau, as well as a tiling business at its headquarters in Augsburg and employs a total of 273 staff.

“The owner families realised their vision to lead the companies into a future independent of the family, embedded in a larger environment and continuing to offer excellent development opportunities,” says co-owner and Managing Director Dr. Michael Mahler.

In Bauking Carlsqaure identified not only a successful market leader in Northern Germany but also a company with a compelling track record of successfully integrating traditional family businesses. Bauking is market leader in the North of Germany, generating revenues more than €1.1 billion with 67 of general building merchant locations and 51 DIY retail locations (operating under the ‘hagebaumarkt’ brand). Bauking is part of the BME Group – one of the leading building materials trading companies in Europe. The Dutch BME Group is a portfolio company of the American investor Blackstone, one of the largest financial investors worldwide.

With the acquisition of the Mahler Group, Bauking will expand its footprint to the south of Germany. Bauking will thus gain access to the know-how of the Mahler Group, especially in the area of digitalisation and its expertise in the tile business. The Chairman of the Bauking Management Board, Andreas Strietzel, emphasises: “We will continue and intensify our acquisition efforts in order to achieve our ambitious growth targets and continue to look for successful building materials distribution companies to round off the expansion of our sales territory.”

Mahler will remain an independent company with the same organisational structure and familiar brand identity as part of the Bauking group.

Carlsquare initiated the transaction and acted as exclusive financial advisor to the shareholders of Mahler Holding.
